1. Ownership & Management

It is hereby informed that, with effect from the above-mentioned date,
Xperiserv Technologies and its business operations,
commercial activities, digital platforms, products, services,
business communications, and operational management
are administered and managed by
Allientic Lab Technologies,
subject to applicable law and any existing contractual obligations.

Accordingly, all future quotations, proposals, invoices,
business communications, customer support,
service delivery, commercial negotiations,
and operational decisions shall be undertaken by or under the authority
of Allientic Lab Technologies.

2. Business Assets

The following business assets are managed by Allientic Lab Technologies where legally applicable:

• Business Operations
• Customer Relationships
• Official Website
• Software & Applications
• Cloud Infrastructure
• Source Code
• Technical Documentation
• Digital Assets
• Business Records
• Brand Identity
• Marketing Materials
• Commercial Contracts

3. Intellectual Property

All trademarks, service marks, logos, trade names,
copyrights, website contents, graphics,
software, databases, source code,
technical documentation, confidential information,
trade secrets and other intellectual property,
to the extent legally owned or licensed,
are protected under the applicable laws of India.

No person or entity shall reproduce,
copy, modify, publish,
redistribute, impersonate,
commercially exploit or otherwise use
such materials without prior written authorization.

4. Unauthorized Representation

Any individual or organization claiming to represent
Xperiserv Technologies without written authorization
shall be acting without authority.

Appropriate civil or criminal legal action may be initiated
against any person involved in fraud,
misrepresentation,
passing off,
identity misuse,
unauthorized branding,
or infringement of intellectual property rights.

5. Governing Law

This Legal Notice shall be governed by
the laws of the Republic of India.

6. Jurisdiction

Any dispute, controversy or legal proceeding
arising directly or indirectly from this Notice
shall be subject to the exclusive jurisdiction
of the competent Courts at
Cuttack, Odisha, India.

7. Reservation of Rights

Allientic Lab Technologies expressly reserves
all legal rights, claims,
remedies and defenses available under
the Constitution of India,
the Bharatiya Nyaya Sanhita (where applicable),
the Bharatiya Nagarik Suraksha Sanhita,
the Information Technology Act, 2000,
the Copyright Act, 1957,
the Trade Marks Act, 1999,
the Indian Contract Act, 1872,
and other applicable statutes,
rules and regulations.

Nothing contained herein shall be construed as
a waiver of any legal or equitable rights.
